PRE-SALE AND CROWD-FUNDING TERMS AND CONDITIONS

These Pre-Sale and Crowd-Funding Terms and Conditions ("Terms") govern the agreement between PortalZero Ltd ("PortalZero", "we", "us", or "our") and individuals ("Purchaser", "you", or "your") who contribute payments towards the funding of our upcoming product development via pre-sale and crowdfunding efforts prior to an official launch on a Crowdfunding Platform. These payments are intended to support our transition to a crowdfunding platform, where Indiegogo’s terms and conditions will subsequently apply.
1. Formation of Contract
1.1 Establishment of Contract
A contract is formed between PortalZero Ltd and the Purchaser under one of the following conditions:
(a) When the Purchaser contributes funds directly to PortalZero in anticipation of a crowdfunding campaign. (b) When the Purchaser submits a formal agreement to contribute funds to PortalZero’s pre-sale efforts. (c) When the Purchaser agrees to the funding terms outlined in a written communication, receipt, or confirmation provided by PortalZero. (d) When the Purchaser makes a pre-sale contribution that will transition to Indiegogo’s terms and conditions upon campaign launch.
1.2 Scope of Contract
The contract includes:
(a) Terms specified in the funding confirmation or agreement.
(b) PortalZero’s Warranty terms.
(c) These Terms and Conditions.
(d) Indiegogo’s terms and conditions upon campaign transition.
1.3 Order of Precedence
In the case of any discrepancies or conflicts between documents, the following order of priority shall apply: (a) Terms specified in a funding confirmation, written agreement, or campaign details.
(b) PortalZero’s Warranty terms.
(c) These Terms and Conditions.
(d) Indiegogo’s Terms and Conditions (upon campaign transition).
2. Payment Terms
2.1 Pricing
All contributions are considered voluntary pre-sale contributions towards the development of PortalZero’s product. Prices are displayed in GBP (£) unless otherwise specified.
2.2 Payment Requirements
(a) Payments must be completed at the time of contribution. (b) Payments will transition into the Indiegogo campaign upon launch, subject to their terms and conditions.
2.3 Non-Payment and Late Payments
PortalZero reserves the right to decline participation if a payment is not received in full.
3. Pre-Sale Contributions and Transition to Indiegogo
3.1 Pre-Sale Contributions
(a) Contributions made under these Terms are intended to fund product development and eventual crowdfunding on Indiegogo. (b) Contributors will be informed when the Indiegogo campaign goes live and how their contributions will be reflected in the campaign.
3.2 Transition to Indiegogo Terms
(a) Upon the launch of the Indiegogo campaign, all pre-sale contributions will be recognized within the crowdfunding platform. (b) From that point forward, Indiegogo’s Terms and Conditions will govern all payments, refunds, and campaign obligations.
4. Refunds and Cancellations
4.1 Refund Policy
(a) Pre-sale contributions are refundable within 14 days of payment if a written request is submitted, provided the crowdfunding campaign has not launched. (b) Once the campaign launches, Indiegogo’s refund policy will apply.
4.2 Cancellation Policy
(a) If PortalZero decides not to proceed with the Indiegogo campaign, full refunds will be issued to contributors. (b) If PortalZero transitions to Indiegogo, cancellation and refund requests will be handled under Indiegogo’s policies.
5. Compliance with UK Law
PortalZero ensures that all pre-sale contributions comply with UK laws, including: (a) The Consumer Rights Act 2015. (b) The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. (c) The UK General Data Protection Regulation (UK GDPR). (d) The Financial Conduct Authority’s (FCA) guidelines regarding crowdfunding where applicable.
PortalZero is not a financial services provider and does not offer regulated investment products.
6. Intellectual Property and Use of Funds
6.1 Intellectual Property
All intellectual property rights remain the exclusive property of PortalZero.
6.2 Use of Funds
Funds collected from pre-sale contributions will be used exclusively for: (a) Product development and prototyping. (b) Marketing and preparation for crowdfunding. (c) Associated costs of campaign launch and fulfillment.
7. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Disputes shall be resolved exclusively in the courts of England and Wales.
8. Amendments
PortalZero reserves the right to amend these Terms. The terms in effect at the time of contribution apply to that transaction.
